Welcome to Green Line Interiors. Specialising in bespoke furniture for the gaming and hospitality industry. We are dedicated to supplying high-quality, durable furniture to meet the demanding needs of the hospitality industry. This document outlines the terms and conditions under which we offer our products and services to you.

Effective Date: 21 February 2019

1. General

1.1 Acceptance of Terms: By purchasing products or services from Green Line Interiors (“the Company”), you (“the
Customer”) agree to be bound by these Terms and Conditions of Sale.

1.2 Modification of Terms: The Company reserves the right, at its discretion, to change, modify, add, or remove
portions of these terms at any time by posting the amended terms on the Company’s website. It is your responsibility to
check these terms periodically for changes. Your continued use of the Company’s products and services after the posting
of changes constitutes your binding acceptance of such changes.

2. Products and Services

2.1 Product Range: The Company provides a variety of furniture products, including but not limited to Gaming
Furniture, Hospitality Furniture, Alywood Collection, Manoli Collection, and Bespoke Furniture solutions.

2.2 Customisation and Bespoke Services: Green Line Interiors offers custom finishes and bespoke solutions to cater to
specific decor and project needs of the Customer.

3. Pricing, Payment, Quote Acceptance, Custom Orders & Customer Responsibility

3.1 Quotations: All quotations provided by the Company are valid for a period of 30 days from the date of issue, unless
otherwise specified.

3.2 Order Quantities: The provided quotations and associated pricing are contingent upon the quantities specified within the quotation document. Any alterations to these quantities will necessitate renegotiation of the terms.

3.3 Payment Terms: Payment terms shall be specified on the invoice, with the standard term being payment in full
prior to delivery, unless a credit account has been established and approved by the Company.

3.4 Pricing: Prices for all products will be determined based on rates effective at the time Green Line Interiors accepts
the purchase order, unless explicitly stated otherwise in writing by Green Line Interiors. It is understood that all prices
are subject to the addition of Goods and Services Tax (GST).

3.5 Additional Fees: The customer is responsible for the payment of any additional costs beyond the purchase price,
including but not limited to delivery fees, sales tax, Goods and Services Tax (GST), special packaging expenses, and
any other government-imposed levies.

3.6 Interest: Should the Customer not settle their payment by the stipulated due date, Green Line Interiors reserves the
authority to impose interest on overdue amounts at an interest rate that is 4% higher than the ANZ Bank’s minimum
lending rate, subject to adjustments over time.

3.7 Binding Acceptance: A quotation issued by Green Line Interiors (“GLI”) becomes legally binding upon written acceptance by the Customer, including acceptance by signed quotation, written confirmation, purchase order, email approval, or payment of a deposit.

3.8 Customer Verification Obligation: By accepting the quotation, the Customer warrants and confirms that they have carefully reviewed and approved all details contained within the quotation, including but not limited to:

  • Product model(s)
  • Quantities
  • Dimensions and seat heights
  • Finishes and frame colours
  • Upholstery selections and materials
  • Base types and specifications
  • Any custom modifications or variations

The Customer accepts full responsibility for ensuring that all specifications are correct prior to acceptance.

3.9 No Variations After Acceptance: Once a quotation has been accepted, no changes, variations, substitutions, cancellations, or reductions will be permitted unless agreed to in writing by Green Line Interiors.

Green line Interios reserves the right to refuse any requested variation after acceptance.

3.9.1 Custom & Made-to-Order Products: The majority of Green Line Interiors products, including but not limited to Titanium™ gaming stools, custom upholstery selections, and made-to-order hospitality furniture, are manufactured or assembled specifically to the Customer’s approved specifications.

As such:

  • All custom or made-to-order products are strictly non-cancellable and non-refundable once the quotation has been accepted.
  • No claims will be accepted for change of mind, incorrect selection, or specification errors approved by the Customer.

3.9.2 No Claims for Approved Specifications: Green Line Interiors shall not be liable for any loss, cost, or claim arising from incorrect sizes, finishes, materials, or specifications where such details were approved by the Customer at the time of quotation acceptance.

4. Orders

4.1 Customer Custom Orders: At Green Line Interiors, when we accept orders for products that are custom-made to
your unique specifications, or any products that are modified according to your requirements, a deposit constituting 50%
of the goods’ value is mandatory and non-refundable. The balance of 50% is due before the delivery of these goods.

4.2 Customer Supplied Product: Green Line Interiors does not hold any responsibility for the quality, precision, or
correctness of any products, drawings, or specifications provided by the customer. Our commitment is to your vision,
but the onus of accuracy in supplied materials or specifications lies with you.

4.3 Cancelation Of Orders: In instances wherein Green Line Interiors consents to cancel an order upon the customer’s
request before the goods have been dispatched, we reserve the right to recoup all costs incurred up until the point of
cancellation. Further, we may impose a cancellation fee of up to 25% of the goods’ price to cover the overheads and
efforts invested in the order. Such cancellation requests must be articulated in writing and submitted before the dispatch
of the goods. Please note: Orders for custom-made goods cannot be annulled once production has initiated, rendering
the customer responsible for the payment of the complete price of the goods.

4.4 Ownership Of Goods: Ownership of the goods will be retained by Green Line Interiors until full payment has been
made by the customer. In the event that payment is not received, or if Green Line Interiors has reason to suspect that the
customer might default on the payment when it is due, Green Line Interiors reserves the right to reclaim possession of
the goods that remain in the customer’s custody.

4.5 Specifications: Green Line Interiors retains the authority to adjust colours and/or materials as needed for
commercial viability without prior notification. Furthermore, Green Line Interiors holds the discretion to modify
product specifications for subsequent orders and cannot assure an exact match with products from previous orders.

4. Delivery

4.1 Terms: Delivery terms, including delivery charges and estimated delivery times, will be specified at the time of
order. The Company will make all reasonable efforts to deliver the goods within the estimated time frame but shall not
be liable for any delays.

4.2 Costs: At Green Line Interiors’ discretion, Delivery costs may be either incorporated into the Goods’ Price or
charged separately.

4.3 Dispatch: Green line Interiors has the right to dispatch the Goods in multiple consignments. Each consignment will
be billed and must be paid in accordance with these terms and conditions.

4.4 Delivery acceptance: It is mandatory for the Customer to accept Delivery by either receipt or collection of the
Goods whenever they are offered for Delivery.

4.5 Delivery Times: Any Delivery time provided by Green line Interiors is a rough estimate, and Green Line Interiors
shall not bear any responsibility for any losses or damages suffered by the Customer due to late Delivery. Nonetheless,
both parties will make all reasonable efforts to ensure the Goods are delivered as per the agreed schedule. Should the
Customer’s actions or inactions solely prevent Green Line Interiors from delivering the Goods as planned, Green Line
Interiors reserves the right to impose charges for redelivery and/or storage.

4.6 Lead times: Lead times might face delays of around thirty (30) weeks for selected Goods or longer when delays
arise from not receiving specific requests for quantities, colours, and finishes in a timely manner, or due to delays in
Goods being on indent or back order. Lead times start from the confirmation of a written order.

4.7 Storage Policy: In the absence of a separate agreement, goods are expected to be shipped or picked up within 14
days from the date of purchase or the completion of their manufacture. Should the goods continue to be stored at Green
Line Interiors’ facility beyond the 14-day window, storage charges will be incurred. The rate for storage is $10.00 per
cubic meter per day. Payment of these storage fees is required prior to the goods being released.

4.8 Risk Transfer: The liability for any loss or damage to the goods, transitions to the Customer once the goods have
been delivered either to the Customer, the Customer’s representative, a location specified by the Customer, or a carrier
chosen by the Customer.

5.Warranty

5.1 Warranty Claim: To submit a warranty claim, please provide the invoice number and the purchase date. Green
Line Interiors will review and must approve all warranty claims. For more information on the warranty process please
consult our Product Warranty documentation.  

5.2 Inspection and Notification: Upon receiving the goods, the customer is expected to examine them promptly.
Within three days following delivery, the customer must formally communicate with Green Line Interiors about any
noticeable issues such as defects, damages, shortages, or deviations from the provided description or estimate. Should
any other defects surface, it’s imperative that the customer reports these to Green Line Interiors as soon as they are
noticed, allowing Green Line Interiors to perform an inspection of the goods. All claims must be supported with
photographic proof.

5.3 Warranty Details: The warranty specifics for goods made by Green Line Interiors are outlined in the
accompanying “Warranty Document.”

5.4 Warranty Limitations: Except where specifically mentioned in these terms or related to non-excludable
guarantees, Green Line Interiors does not offer any additional warranties or representations about the goods’ quality or
fitness for purpose. Our liability under these warranties is limited to the maximum extent allowed by law.

5.5 Liability Exclusions: Green Line Interiors is not liable for any issues caused or partially caused by improper
maintenance or storage by the customer, misuse of goods, ignoring apparent defects, not following Green Line
Interiors’s guidelines, outdoor use, normal wear and tear, accidents, or acts of God.

5.6 Care and Cleaning: Green Line Interiors shall not be held liable for any product damage arising from unauthorised
use or mishandling of furniture. For guidance on proper care and maintenance, please consult Green Line Interiors’ care
and cleaning instructions. ( Insert Link)

5.7 Cleaning Disclaimer: Green Line Interiors disclaims any responsibility for potential damage resulting from the
user following our cleaning recommendations for your gaming stools or furniture. For optimal care, consulting a
professional cleaning service is advised.

6. Intellectual Property

6.1 Copyrights and Trademarks: All content, images, and product designs featured on the Company’s website and
marketing materials are the property of Green Line Interiors or its content suppliers and are protected by Australian and
international copyright laws. Where Green Line Interiors has designed, drawn or developed Goods for the Customer,
the copyright in any designs, drawings, and documents shall remain with Green Line Interiors. These materials must not
be used by anyone without the explicit written consent of Green Line Interiors.

6.2 Customer Guarantees: The Customer guarantees that any designs, specifications, or instructions provided to
Green Line Interiors will not infringe upon any patent, registered design, or trademark when fulfilling the Customer’s
order. Additionally, the Customer agrees to shield Green Line Interiors from any legal disputes arising from such
infringement claims by a third party.

6.3 Marketing: The Customer gives permission for Green Line Interiors to use, without any charge, any documents,
designs, drawings, or Goods created for the Customer for marketing purposes.

6.4 Protection of Reputation: wrongful use, false representation, or other actions that could negatively affect the
image of Green Line Interiors’ brand (this includes, but is not limited to, violations of Green Line Interiors’ intellectual
property rights or any negative influence from their online sales and marketing efforts) which is determined to be
harmful to the reputation of Green Line Interiors may lead to protective measures taken by Green Line Interiors,
including refusal of service, to counter such damage.

7.1 Order Cancellation: Orders may only be cancelled by the Customer with the written consent of Green Line
Interiors and upon terms that will indemnify Green Line Interiors against any losses incurred.

8. Governing Law

8.1 Jurisdiction: These Terms and Conditions of Sale shall be governed by and construed in accordance with the laws
of the state of Victoria, Australia.

9. Electronic Transactions

9.1 Acceptance of Electronic Signatures: Both parties agree that electronic signatures on agreements or orders will be
considered as valid as original signatures, provided they comply with the Electronic Transactions Act 2000 (VIC) or any
other applicable legislation.
